TERMS OF SERVICE - codewithavi

1. ACCEPTANCE OF TERMS
By accessing this website, starting a project via our onboarding form, or using services provided by codewithavi, you accept and agree to be bound by these Terms of Service.

2. SERVICES
We provide web development, mobile app development, and digital consulting services. All services are provided subject to a mutually agreed project scope.

3. ONBOARDING & PROJECT REQUESTS
- Submitting the onboarding form is a request for a proposal, not a binding contract until both parties agree in writing.
- Required onboarding fields: full name, email address, and phone number.
- Optional fields (company, position, website, competitors, goals, etc.) may be left blank.
- You must accept Terms of Service, Privacy Policy, and Project Agreement before submission.
- NDA acceptance is optional unless required for your engagement.

4. PAYMENT TERMS
- Payment schedule is defined in the signed Project Agreement for each engagement.
- Typical structure: deposit to commence work, balance on agreed milestones or completion.
- Additional out-of-scope work may incur additional charges after written approval.

5. INTELLECTUAL PROPERTY
- Client retains ownership of their content and data.
- We retain rights to our code libraries, frameworks, and reusable components.
- Final project deliverables transfer to the client upon full payment, as specified in the Project Agreement.

6. CONFIDENTIALITY
We maintain confidentiality of client information and project details. A separate NDA may be executed when needed.

7. LIMITATION OF LIABILITY
Our liability is limited to the amount paid for the specific services giving rise to the claim.

8. TERMINATION
Either party may terminate as set out in the Project Agreement or with written notice as agreed.

9. GOVERNING LAW
This agreement is governed by the laws of India.
